2. Description of Service

EasySalesBots is an AI chatbot-as-a-service platform that enables businesses to create intelligent chatbots powered by their own documents and knowledge bases. The Service includes:

• Document upload and knowledge base management.
• AI-powered chatbot creation and customisation.
• Embeddable chat widget for websites and applications.
• Conversation analytics and management dashboard.
• API access for programmatic integration.

3. Account Registration

To use the Service, you must create an account. By registering, you represent and warrant that:

• You are at least 18 years of age.
• All information you provide during registration is accurate, current, and complete.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account, whether or not you authorised them.

You must notify us immediately at legal@easysalesbots.com if you become aware of any unauthorised use of your account.

4. Subscription Plans & Billing

EasySalesBots offers both free and paid subscription plans. By subscribing to a paid plan, you agree to the following:

• Paid plans are billed on a recurring basis (monthly or annually) as selected at the time of purchase.
• You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle.
• 30-day money-back guarantee: If you are not satisfied with a paid plan, you may request a full refund within 30 days of your initial purchase. After 30 days, no refunds will be issued for the current billing period.
• We reserve the right to change pricing with at least 30 days' notice. Existing subscribers will be notified before any price change applies to their account.

5. Acceptable Use

You agree not to use the Service to:

• Upload, store, or distribute any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable under Indian law.
• Reverse engineer, decompile, or disassemble any part of the Service or its underlying technology.
• Scrape, crawl, or use automated means to access the Service without permission.
• Resell, sublicense, or redistribute the Service or access to it.
• Use the Service for any malicious purpose, including distributing malware, phishing, or spam.
• Upload copyrighted content for which you do not hold the necessary rights or licences.
• Attempt to gain unauthorised access to other users' accounts, data, or the Service's infrastructure.

Violation of these terms may result in immediate suspension or termination of your account without notice, in accordance with the Information Technology Act, 2000.

6. Intellectual Property

The EasySalesBots platform, including its software, design, logos, and documentation, is the exclusive property of EasySalesBots and is protected under applicable intellectual property laws. You may not copy, modify, or create derivative works of the Service without our prior written consent.

You retain full ownership of all content you upload to the Service. By uploading content, you grant EasySalesBots a non-exclusive, worldwide, royalty-free licence to use, process, and store that content solely for the purposes of providing and improving the Service. This licence terminates when you delete the content or close your account.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. We are committed to compliance with the Digital Personal Data Protection Act (DPDP Act), 2023, and the Information Technology Act, 2000.

8. Service Availability & SLA

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided on a best-effort basis.

• Scheduled maintenance windows will be communicated in advance whenever possible.
• Enterprise plan subscribers may have specific Service Level Agreements (SLAs) with defined uptime commitments as set forth in their separate enterprise agreement.
• EasySalesBots shall not be liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by applicable law, including the Consumer Protection Act, 2019:

• EasySalesBots's total aggregate liability to you for any claims arising out of or relating to the Service shall not exceed the total fees paid by you to EasySalesBots in the twelve (12) months immediately preceding the event giving rise to the claim.
• In no event shall EasySalesBots be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• The Service and all AI-generated responses are provided "as is" without warranties of any kind, express or implied.

10. Indemnification

You agree to indemnify, defend, and hold harmless EasySalesBots, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your uploaded content; or (d) your violation of any third-party rights.

11. Termination

Either party may terminate this agreement at any time. You may close your account through your dashboard settings or by contacting us.

• EasySalesBots may suspend or terminate your account immediately if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service, other users, or third parties.
• Upon termination, your data will be available for export for thirty (30) days. After this period, we will delete your data in accordance with our Privacy Policy.
• Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

13. Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute amicably through good-faith negotiation. If the dispute is not resolved within thirty (30) days, it shall be referred to binding arbitration administered under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India. The arbitration shall be conducted in English by a sole arbitrator mutually agreed upon by the parties. If the parties cannot agree on an arbitrator within fifteen (15) days, one shall be appointed in accordance with the applicable rules. The arbitrator's decision shall be final and binding, subject to the right of either party to approach the courts as provided under Section 12.

14. Modifications

EasySalesBots reserves the right to modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes by email or through a prominent notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
